OFFICIAL RULES Time Out Chefs Miami Sweepstakes (“Sweepstakes”)

Time Out America LLC (“Time Out”)

ELIGIBILITY: The Time Out Chefs Miami Sweepstakes, is open to legal residents of the United Kingdom, France, Spain and the United States, who are 21 years of age and older and who are physically located and reside in the either the United Kingdom, France, Spain or United States at time of entry ("Entrant"). Void in Puerto Rico and where prohibited. Employees, directors and officers, and their immediate families (spouse, parents, children, siblings, and their respective spouses), and their respective household members (whether related or not), of Time Out (“Sponsor”) its affiliates, subsidiaries, and divisions advertising and promotion agencies and prize partners are not eligible to enter. These Sweepstakes are subject to all applicable federal, state, and local laws. US law governs these Sweepstakes. Notwithstanding anything to the contrary, the Sweepstakes is void where prohibited. There is no purchase requirement to enter the Sweepstakes. Purchases do not improve the chances of winning. 

1. ENTRY PERIOD: The entry period (“Entry Period”) for the Sweepstakes starts on Tuesday 12 February 2019 and ends on Friday 15 March 2019 at 4:00 pm Greenwich Mean Time.

2. MAIN METHOD OF ENTRY: An entry (“Entry” or “Entries”) will be completed once an Entrant submits an online entry via Instagram by following @timeoutchefs and leaving a comment on the Sweepstakes entry post telling us what you're most looking forward to trying at Time Out Market Miami. It is a requirement that your Instagram Profile is public to enter. Once this information has been submitted, an Entrant will automatically receive one entry in the Sweepstakes. Electronic entries will be deemed made by the authorized account holder of the e-mail address submitted at time of entry. The "authorized account holder" is deemed to be the natural person who is assigned to a particular e-mail address by the applicable Internet access provider, online service provider or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry. Limit one (1) entry per person and per e-mail address. More than one (1) entry from any person or from any e-mail address will void all entries from that person or e-mail address, as applicable. Any attempt by a person to enter more than once with multiple email accounts may result in disqualification at the discretion of the Sponsor upon verification of potential winners.

3. WINNER SELECTION: The winning Entry (“Winner”) will be selected on Monday 18 March 2019. The Winners will be selected randomly from all Entries received in accordance with the Rules.  All Entries will be listed and numbered on a spreadsheet and a random number will be generated through an independent computer program, using a blind procedure, which will reveal the winning Entry.  There will be only one Winner of the Prize. The Winner will be contacted by Sponsor by telephone or email within two (2) weeks from the end date of the Entry Period for the Sweepstake and the Winners must confirm acceptance of the Prize (as defined below) within seventy two (72) hours of notification. If Sponsor is unable to contact the Winner to confirm their acceptance of the Prize within the allotted time period, Sponsor reserves the right to select another Winner drawn using the same selection procedure. Sponsor shall have no liability to a previously selected Winner who have not responded in time. Sponsor reserves the right to ask the Winner to provide proof of age and/or state of residence. The Winner may be announced on the Sponsor website for at least thirty (30) days’ after the Prize has been awarded and as such, Sponsor will have the right (without additional permission being required) to use the Winner’s names, age and town/city for that purpose and they may be requested by Sponsor to participate in post-event publicity both in paper and online. The Winner agrees to provide any information required by Sponsor to fulfil the Prize as per applicable laws, such as the Winner’s social security number when and if required for tax regulation compliance purposes. In addition, the Winner may be asked to complete a general release and an affidavit of eligibility.

4. The Prize is return economy flights for two people to Miami from France, Spain, the United Kingdom or United States (ARV $750-1,500), three nights accommodation at a minimum 4* hotel in South Beach, Miami (to be determined by Time Out) (ARV $1,200 - 2,000), and a $200 charge card for redemption only at Time Out Market Miami (the charge card must be picked up in person at Time Out Market Miami) up to a maximum value of £3,000 (approximately valued at $3,855 as at 12 February 2019). The Prize is valid for use between 1 April 2019 and 1 November 2019 only and cannot be used on any other travel, trip or itinerary. Any additional costs incurred will be at the expense of the Winner. Time Out may use a third party booking provider to deliver the Prize, and such third party booking provider’s terms and conditions may apply. The Winner must have a minimum of 6 months validity on their passport from the date of the return flight. The Prize is subject to the Winner meeting any US entry requirements, including visas. The Prize is non-transferable and non-refundable. No cash alternative is available for the Prize. In the unlikely event that the Prize should become unavailable or unredeemable, Sponsor reserves the right to substitute an alternative prize which it reasonably determines as being of equal value.   All taxes and any other costs not specifically stated within these Official Rules are the sole responsibility of the winner. Prize may not be transferred, substituted or redeemed for cash, except at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value if advertised prize is unavailable at the time the prize is awarded. A Form 1099 may be issued to the Winner.

5. ADDITIONAL CONDITIONS OF PARTICIPATION: By entering, Entrants agree to be bound by these Official Rules including all eligibility requirements. By entering, Entrants agree to sign up as a registered user and receive emails from Sponsor. Sponsor will not share this information with any third parties, except as necessary for the administration of the Sweepstakes. Sponsor’s use of information submitted by Entrants in connection with these Sweepstakes will be subject to the terms and conditions stated in these Official Rules as well as to the Privacy Policy available at https://www.timeout.com/privacy-notice. Entries that have been generated by a script, macro, bot or any other automated means will be deemed void. All Entries that are incomplete, illegible, damaged, contain an erroneous phone and/or email address or do not conform to or satisfy any condition of the Rules may be disqualified by Sponsor. By accepting a prize, the Winner gives consent to the use of their name, images, likenesses, photo, voices, entry submissions and biographical materials for advertising, publicity, and promotional purposes by Sponsor, or a party designated by the Sponsor, including but not limited to, any online announcements, without additional notice or compensation, except where prohibited by Sponsor’s Privacy Policy or by law. All materials submitted in connection with the Sweepstakes will not be returned. Entrants agree to abide by the terms of these Official Rules and the decisions of the judges and Sponsor, which are final, and waive any right to claim ambiguity in these Official Rules. Entrants agree that any and all disputes shall be governed by the laws of the State of New York.

6. WARRANTY: Each Entrant hereby warrants that all information submitted is true, current and complete. Sponsor reserves the right to verify the eligibility Entrants. Sponsor does not accept responsibility for lost, damaged, invalid or illegible Entries.

7. LIMITATION OF LIABILITY: ENTRANTS HEREBY AGREE TO RELEASE, INDEMNIFY AND HOLD HARMLESS TIME OUT AMERICA, LLC AND EACH OF ITS AFFILIATES, SUBSIDIARIES, DIVISIONS, ADVERTISING AND PROMOTION AGENCIES, EMPLOYEES, OFFICERS, DIRECTORS, SHAREHOLDERS AND PRIZE PARTNERS, INCLUDING CHELSEA PIERS (COLLECTIVELY, THE “RELEASEES”), FROM ANY CLAIMS, ACTIONS, INJURY, LOSS OR DAMAGE OF ANY KIND, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY OR DEATH, RESULTING FROM PARTICIPATING IN THIS SWEEPSTAKES, OR FROM THE ACCEPTANCE, POSSESSION, OR USE OR MISUSE OF ANY PRIZE AWARDED OR PARTICIPATION IN ANY PRIZE-RELATED ACTIVITY. THIS LIMITATION OF LIABILITY IS A COMPREHENSIVE LIMITATION OF LIABILITY THAT APPLIES TO ALL DAMAGES OF ANY KIND, INCLUDING (WITHOUT LIMITATION) COMPENSATORY, DIRECT, INDIRECT, OR CONSEQUENTIAL DAMAGES; LOSS OF DATA, INCOME, OR PROFIT; LOSS OF DAMAGE TO PROPERTY; AND CLAIMS OF THIRD PARTIES. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SPONSOR DOES NOT MAKE ANY EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO SPONSOR'S WEBSITE AND SPONSOR SHALL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS RELATED THERETO Releasees are not responsible for technical, hardware or software malfunctions, telephone failures of any kind, lost or unavailable network connections, inability to access a website or submit an Entry, vote, fraud, incomplete, garbled, or delayed computer transmissions or inaccurate transcription of entry information, whether caused by the Sponsor, users or by any of the equipment or programming associated with or utilized in this Sweepstakes or by any technical or human error which may occur in the processing of submissions which may damage a user’s system or limit a participant’s ability to participate in the Sweepstakes. Entry materials or votes that have been tampered with or altered are void. Sponsor reserves the right, in its sole discretion, to cancel or suspend part or all of this Sweepstakes at any time without notice, if in the judges’ opinion there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Sweepstakes, or if virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness or integrity and proper play of the Sweepstakes. In such event, Sponsor may void any entries they suspect are at issue and award prizes from among all eligible entries/votes received up to the date of cancellation. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY ONLINE SERVICE RELATED TO THIS SWEEPSTAKES OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING CRIMINAL PROSECUTION. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. Sponsor reserves the right to disqualify Entrants who violate the rules or interfere with this Sweepstakes in any manner. If an Entrant is disqualified, Sponsor reserves the right to terminate that Entrant’s eligibility to participate in the Sweepstakes. Any attempts by an individual to access any website associated with this competition via a bot script or other brute force attack or any other unauthorized means will result in the IP address becoming ineligible. Use of automated entry devices or programs is prohibited.

8. DISPUTES: Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the participant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

Les employés, directeurs et agents, ainsi que leurs proches directs (conjoint, parents, enfants, frères et sœurs et leurs conjoints respectifs), ainsi que les autres membres de leur foyer (qu’ils aient ou non un lien familial) de Time Out (le « Sponsor »), de ses filiales, de ses sociétés affiliées, filiales et divisions, agences de publicité et de promotion et des partenaires du prix ne peuvent pas participer au concours. Ces Tirages au sort sont soumis à toutes les lois fédérales, nationales et locales applicables. Ils sont régis par la législation des États-Unis. Nonobstant toute disposition contraire, les Tirages au sort sont invalides dans les pays où ils sont interdits. La participation au Tirage au sort n’est soumise à aucune obligation d’achat. 1. PÉRIODE D’INSCRIPTION : La période d’inscription (« Période d’inscription») au Tirage au sort commence le mardi 12 février 2019 et prend fin le vendredi 15 mars 2019 à 16h00

2. PRINCIPALE MODALITÉ D’INSCRIPTION : Pour valider son inscription (« Inscription» ou « Inscriptions ») un Participant devra envoyer une inscription en ligne via Instagram en suivant @timeoutchefs et laisser un commentaire à la publication sur la participation au Tirage au sort en indiquant ce qu’il est impatient de découvrir à Time Out Market Miami. Le profil d’Instagram du Participant doit être public. Après avoir envoyé ces informations, le Participant recevra automatiquement une inscription au Tirage au sort. Les participations électroniques seront considérées comme déposées par le titulaire autorisé du compte de l’adresse électronique fournie au moment de l’inscription. Le « titulaire autorisé du compte » est entendu comme la personne physique associée à une adresse électronique précise par le fournisseur d’accès concerné, le fournisseur de services en ligne ou toute autre organisation responsable de l’attribution d’adresses électroniques pour le domaine de l’adresse électronique fournie. Le Sponsor pourra demander à un gagnant potentiel de lui fournir un justificatif prouvant qu’il est bien le titulaire autorisé du compte de l’adresse électronique associée à l’inscription gagnante. Le concours est limité à une (1) inscription par personne et par adresse électronique. Si une personne ou une adresse électronique participe plus d’une (1) fois, toutes les participations de cette personne ou adresse électronique, le cas échéant, seront annulées. Une personne tentant de participer plusieurs fois avec plusieurs comptes de messagerie pourra être disqualifiée à discrétion du Sponsor sur vérification des gagnants potentiels.

3. SÉLECTION DES GAGNANTS : L’inscription gagnante (le « Gagnant») sera sélectionnée lundi 18 mars 2019.  Les Gagnants seront sélectionnés au hasard parmi toutes les participations reçues conformément aux Règles.  Toutes les inscriptions seront répertoriées et numérotées dans un tableur et un programme informatique indépendant génèrera un numéro au hasard, selon un procédé aveugle, qui déterminera l’Inscription gagnante.  Il n’y aura qu’un seul Gagnant du Prix. Le Sponsor contactera le Gagnant par téléphone ou e-mail sous deux (2) semaines à compter de la date de la Période d’inscription au Tirage au sort ; le Gagnant devra alors confirmer qu’il accepte le Prix (décrit ci-dessous) sous soixante-douze (72) heures à compter de la notification. Si le Sponsor ne peut pas joindre le Gagnant dans le délai prévu afin que ce dernier confirmer qu’il accepte bien le Prix, le Sponsor se réserve le droit de sélectionner un autre Gagnant en utilisant la même procédure de sélection. Le Sponsor décline toute responsabilité vis-à-vis d’un Gagnant sélectionné préalablement qui n’aurait pas répondu dans les temps. Le Sponsor se réserve le droit de demander au Gagnant de fournir un justificatif de son âge et/ou de son pays de résidence. Le Gagnant pourra être annoncé sur le site Internet du Sponsor pendant au moins trente (30) jours après la remise du Prix et à ce titre, le Sponsor aura le droit (sans qu’il ne soit nécessaire de demander quelque autre autorisation supplémentaire) d’utiliser le nom, l’âge et la ville du Gagnant à cet effet. De plus, le Sponsor pourra demander au Gagnant de participer à une publicité après l’événement, au format papier et en ligne. Le Gagnant accepte de fournir toutes les informations requises par le Sponsor pour obtenir le Prix conformément aux lois applicables, comme le numéro de sécurité sociale du Gagnant si cela s’avérait nécessaire à des fins de conformité à la règlementation fiscale. En outre, il pourra être demandé au Gagnant de remplir un communiqué général et une déclaration sous serment d’admissibilité.

4. Ce prix est constitué d’un vol aller-retour en classe économique pour deux personnes à destination de Miami et en provenance de France, d’Espagne, du Royaume-Uni ou des États-Unis (ARV 750-1,500 $), de trois nuitées dans un hôtel 4* minimum en plein South Beach, Miami (à déterminer par Time Out) (ARV 1,200 - 2,000 $), et d’une carte d’une valeur de 200 $ à échanger uniquement au Time Out Market Miami (la carte est à retirer en personne et directement au Time Out Market). Le tout pour un montant maximum de 3000 £ (approximativement 3 855 $ au 12 février 2019). Ce prix est valide qu’entre le 1er avril 2019 et le 1er novembre 2019 et ne peut être utilisé pour tout autre voyage ou itinéraire. Tous les frais supplémentaires encourus seront à la charge du Gagnant. Time Out peut faire appel à un fournisseur de services de réservation tiers pour livrer le prix. Dans ce cas là, les conditions générales de ce fournisseur de services de réservation tiers peuvent s'appliquer. Le Gagnant doit avoir un minimum de 6 mois de validité sur son passeport à partir de la date du vol de retour. Le Prix est soumis à la condition que le Gagnant remplisse toutes les conditions d'entrée aux Etats-Unis, y compris le visa. Le Prix ne peut être cédé ni remboursé. Il ne pourra en aucun cas être échangé contre de l’argent. Dans le cas improbable où le Prix serait indisponible ou inutilisable, le Sponsor se réserve le droit de le remplacer par un prix alternatif raisonnablement jugé comme étant de même valeur.   Toutes les taxes et autres frais n’étant pas spécifiquement indiqués dans les présentes Règles officielles relèvent de la responsabilité exclusive du Gagnant. Le Prix ne peut être cédé, remplacé ou échangé contre de l’argent, sauf sur décision discrétionnaire exclusive du Sponsor. Le Sponsor se réserve le droit de remplacer le Prix par un prix de valeur identique ou supérieure si le Prix proposé est indisponible au moment de l’attribution. Un Formulaire 1099 peut être délivré au Gagnant.

5. CONDITIONS SUPPLÉMENTAIRES DE PARTICIPATION : En s’inscrivant, les Participants acceptent de respecter toutes ces Règles officielles y compris toutes les exigences d’admissibilité. En s’inscrivant, les Participants acceptent de s’inscrire en tant qu’utilisateur enregistré et de recevoir des e-mails du Sponsor. Le Sponsor ne partagera pas ces informations avec des tiers, sauf si cela s’avère nécessaire pour l’administration du Tirage au sort. L’utilisation que fera le Sponsor des informations fournies par les Participants dans le cadre de ces Tirages au sort sera soumise aux conditions indiquées dans les présentes Règles officielles, ainsi que dans la Politique de Confidentialité disponible sur https://www.timeout.com/privacy-notice. Les inscriptions générées par un script, macro, bot ou tout autre moyen automatisé seront considérées comme nulles. Toutes les inscriptions incomplètes, illisibles, endommagées, contenant un numéro de téléphone et/ou une adresse électronique erroné/e ou ne respectant pas ou ne satisfaisant pas aux conditions des Règles pourront être disqualifiées par le Sponsor. En acceptant un prix, le Gagnant autorise expressément le Sponsor, ou une partie désignée par le Sponsor, à utiliser son nom, son image, son portrait, sa photo, sa voix, son inscription et des documents biographiques à des fins publicitaires et promotionnelles, y compris notamment pour des communications en ligne, sans notification ou compensation supplémentaire, sauf si cela est défendu par la Politique de Confidentialité du Sponsor ou par la loi. Tous les documents fournis dans le cadre du Tirage au sort ne seront pas restitués. Les Participants acceptent de respecter les conditions des présentes Règles officielles et les décisions des juges et du Sponsor, qui sont définitives, et renoncent à tout droit par lequel ils pourraient faire valoir une ambiguïté dans les présentes Règles officielles. Les Participants acceptent que les éventuels différends soient régis par les lois de l’État de New York.

6. GARANTIE : Chaque Participant garantit par la présente que toutes les informations soumises sont véridiques, actuelles et complètes. LIMITATION DE RESPONSABILITÉ : PAR LA PRÉSENTE, LES PARTICIPANTS ACCEPTENT DE LIBÉRER, D’INDEMNISER ET D’EXONÉRER DE TOUTE RESPONSABILITÉ TIME OUT AMERICA, LLC AINSI QUE CHACUNE DE SES SOCIÉTÉS AFFILIÉES, FILIALES ET DIVISIONS, AGENCES DE PUBLICITÉ ET DE PROMOTION, LEURS EMPLOYÉS, AGENTS, DIRECTEURS, ACTIONNAIRES ET PARTENAIRES DU PRIX, Y COMPRIS CHELSEA PIERS (DÉSIGNÉS ENSEMBLE LES « PARTIES EXONÉRÉES ») CONCERNANT TOUTE RÉCLAMATION, ACTION, BLESSURE, PERTE OU DOMMAGE DE QUELQUE NATURE QUE CE SOIT, Y COMPRIS NOTAMMENT UNE BLESSURE OU UN DÉCÈS RÉSULTANT DE LA PARTICIPATION À CE TIRAGE AU SORT, OU DE L’ACCEPTATION, DE LA DÉTENTION OU DE L’UTILISATION, OU UTILISATION ABUSIVE, DE TOUT PRIX DÉCERNÉ OU DE TOUTE PARTICIPATION À UNE ACTIVITÉ LIÉE AU PRIX. Les Parties exonérées ne sont pas responsables des dysfonctionnements techniques, de matériel ou de logiciel, des défaillances téléphoniques de quelque sorte que ce soit, de la perte ou de l’indisponibilité des connexions au réseau, de l’impossibilité d’accéder au site Internet ou d’envoyer une Participation ou un vote, des transmissions informatiques frauduleuses, incomplètes, indéchiffrables ou retardées ou de la transcription inexacte des informations de l’inscription, que cela soit dû au Sponsor, aux utilisateurs ou à l’un des équipements ou programmes associés ou utilisés dans ce Tirage au sort ou à une erreur technique ou humaine pouvant se produire au cours du traitement des participations et susceptibles d’endommager le système d’un utilisateur ou de limiter la capacité d’un participant à participer au Tirage au sort. Les données des Inscriptions ou votes qui ont été manipulées ou altérées sont nulles. Le Sponsor se réserve le droit, à son entière discrétion, d’annuler ou de suspendre une partie ou la totalité de ce Tirage au sort, sans préavis, si le juge estime qu’il existe un soupçon ou une preuve réelle de falsification électronique ou non électronique concernant une partie du Tirage au sort ou si un virus, un bug ou quelque intervention humaine non autorisée, ou autre cause, corrompt ou perturbe la gestion, la sécurité, l’impartialité ou l’intégrité et la bonne exécution du Tirage au sort. Dans un tel cas, le Sponsor pourra annuler toutes les inscriptions qu’il soupçonne d’être en cause et décerner les prix parmi les inscriptions/votes éligibles reçus jusqu’à la date de l’annulation. ATTENTION : TOUTE TENTATIVE PAR UN PARTICIPANT OU QUELQUE AUTRE INDIVIDU D’ENDOMMAGER DÉLIBÉRÉMENT UN SERVICE EN LIGNE LIÉ AU TIRAGE AU SORT OU DE NUIRE À L’EXÉCUTION LÉGITIME DU TIRAGE AU SORT POURRA ÊTRE CONSIDÉRÉE COMME UN MANQUEMENT AUX LOIS PÉNALES ET CIVILES ET, DANS UN TEL CAS, LE SPONSOR SE RÉSERVE LE DROIT DE DEMANDER DES DOMMAGES ET INTÉRÊTS (Y COMPRIS LES FRAIS DE JUSTICE) AUX RESPONSABLES DE TELS ACTES DANS LA LIMITE LA PLUS ÉTENDUE PERMISE PAR LA LOI, Y COMPRIS D’ENTREPRENDRE DES POURSUITES PÉNALES. Le fait que le Sponsor n’applique pas certaines conditions de ces Règles officielles ne constitue en aucun cas un renoncement aux conditions concernées ou à d’autres. Le Sponsor se réserve le droit de disqualifier des Participants qui ne respectent pas les règles ou interfèrent de quelque façon que ce soit avec le Tirage au sort. Si un Participant est disqualifié, le Sponsor se réserve le droit de mettre fin à l’admissibilité du Participant à participer au Tirage au sort. Toute tentative par une personne d’accéder à un site Internet associé à ce concours via un script bot ou quelque autre attaque par force brute, ou autre moyen internet, entraînera l’inadmissibilité de l’adresse IP. L’utilisation de dispositifs ou programmes d’inscription automatisée est interdite.

8. DIFFÉRENDS : Sauf si la loi l’interdit, toutes les questions concernant la construction, la validité, l’interprétation et l’application de ces Règles officielles, ou les droits et obligations du participant et du Sponsor en lien avec le Tirage au sort, seront régis par, et compris conformément aux, lois de l’État de New York, sans égard à quelque choix de loi ou conflit de règles juridiques (de l’État de New York ou de quelque autre juridiction) susceptible d’entraîner l’application des lois d’une juridiction autre que celles de l’État de New York.

REGLAMENTO OFICIAL Sorteo de Time Out Chefs Miami (el “Sorteo”)

Time Out America LLC (“Time Out”)

REQUISITOS PARA PARTICIPAR: El Sorteo de Time Out Chefs Miami se encuentra abierto a residentes legales del Reino Unido, Francia, España y los Estados Unidos de América que tengan 21 años de edad o más, y que se encuentren físicamente y residan en cualquiera de los países mencionados en el momento de su participación ("Participante"). El Sorteo es nulo en Puerto Rico y en cualquier otro lugar en el que se encuentre prohibido. No podrán participar los empleados, directores y funcionarios, ni sus familiares directos (cónyuge, padres, hijos, hermanos y los respectivos cónyuges de éstos), ni los respectivos miembros de sus familias (sean parientes o no) de Time Out (el “Patrocinador”), ni tampoco sus filiales, subsidiarias y divisiones, sus agencias de publicidad y promoción y auspiciadores.  Este Sorteo se encuentra sujeto a las correspondientes leyes federales, estaduales y locales. Asimismo, este Sorteo se rige de conformidad con la legislación de los Estados Unidos de América. Sin perjuicio de alguna disposición en contrario, este Sorteo es nulo en los lugares en los que se encuentre prohibido. No hay obligación de compra para participar en el Sorteo. Efectuar una compra no sumará más chances de ganar. 

1. PERÍODO DE PARTICIPACIÓN: El período de participación (“Período de Participación”) en el Sorteo comienza el martes 12 de febrero de 2019 y finaliza el viernes 15 de marzo de 2019 a las 16:00 horas, Hora Media de Greenwich.

2. PRINCIPAL MÉTODO DE PARTICIPACIÓN: Se completará una participación (“Participación” o “Participaciones”) toda vez que un Participante envíe una participación en línea mediante Instagram comenzando a seguir a @timeoutchefs y dejando un comentario en la publicación del Sorteo comentándonos qué es lo que ansía probar en el Time Out Market Miami. Para poder participar, es requisito que su Perfil de Instagram sea público. Una vez enviada la información, el Participante recibirá automáticamente una participación en el Sorteo. Las participaciones electrónicas se considerarán efectuadas por el titular de la cuenta autorizado de la dirección de correo electrónico enviada en el momento de la participación. Se considera que el “titular de la cuenta autorizado” es la persona física asignada a una determinada dirección de correo electrónico por parte del correspondiente proveedor de acceso a Internet, proveedor de servicios en línea u otra organización responsable de asignar direcciones de correo electrónico correspondientes al dominio asociado con la dirección de correo electrónico enviada. Se podrá solicitar que un potencial ganador acredite ante el Patrocinador su carácter de titular de cuenta autorizado de la dirección de correo electrónico asociada con la participación ganadora. Las participaciones se limitan a una (1) por persona y por dirección de correo electrónico. La existencia de más de una (1) participación por persona o por dirección de correo electrónico anulará todas las participaciones de esa persona o dirección de correo electrónico, según corresponda. Todo intento de parte de una persona de participar más de una vez con múltiples direcciones de correo electrónico podrá tener como consecuencia su descalificación a criterio del Patrocinador una vez verificados los potenciales ganadores.

3. SELECCIÓN DEL GANADOR: La Participación ganadora (el “Ganador”) será seleccionada el lunes 18 de marzo de 2019. Los Ganadores serán seleccionados al azar de entre todas las Participaciones recibidas de conformidad con el Reglamento.  Todas las Participaciones se enumerarán en una hoja de cálculo y se generará un número aleatorio mediante un programa informático independiente, empleando un procedimiento ciego, que revelará la Participación ganadora.  Podrá haber un solo Ganador del Premio. El Ganador será contactado por el Patrocinador por teléfono o correo electrónico dentro de las dos (2) semanas siguientes a la fecha de finalización del Plazo de Participación del Sorteo, y los Ganadores deberán confirmar la aceptación del Premio (según se define a continuación) dentro de las setenta y dos (72) horas de haber sido notificados. En caso de que el Patrocinador no logre contactar al Ganador para confirmar la aceptación del Premio dentro del plazo previsto para ese fin, el Patrocinador se reserva el derecho de seleccionar a otro Ganador empleando el mismo proceso de selección.  El Patrocinador no tendrá responsabilidad alguna para con un Ganador seleccionado en primera instancia que no haya respondido oportunamente. El Patrocinador se reserva el derecho de solicitar que el Ganador acredite su edad y/o el estado en el que reside. El Ganador podrá ser anunciado en el sitio web del Patrocinador durante por lo menos los treinta (30) días posteriores al otorgamiento del Premio y, como tal, el Patrocinador tendrá el derecho (sin que se requiera permiso adicional alguno) de utilizar los nombres, la edad y el pueblo/la ciudad del Ganador a estos fines, y el Patrocinador podrá solicitarle su participación en publicidades ulteriores, sean impresas o en línea. El Ganador se compromete a brindar toda la información solicitada por el Patrocinador para utilizar el Premio según la legislación aplicable, por ejemplo, su número de seguridad social cuando y en caso de que se lo solicite a fines de dar cumplimiento a la legislación impositiva aplicable. Asimismo, se podrá solicitar que el Ganador complete una exoneración general de responsabilidad y una declaración jurada de elegibilidad.

4. El Premio consiste en vuelos de ida y vuelta para dos personas a Miami desde Francia, España, Reino Unido y Estados Unidos (ARV $ 750-1,500), tres noches de alojamiento en un hotel de 4 * mínimo en South Beach, Miami (según lo determine Time Out) (ARV 1,200-2,000$ ), y una tarjeta con un valor de 200$ para gastar en Time Out Market Miami (la tarjeta de cargo debe ser recogida en persona en el Time Out Market) hasta un valor máximo de £ 3,000 (aproximadamente valorado en 3,855$ a fecha 12 de febrero de 2019). El premio es válido solo para uso entre el 1 de abril de 2019 y el 1 de noviembre de 2019 y no se puede usar en otro viaje, año u otro itinerario. Los costes adicionales en que se incurra serán a cargo del ganador. Time Out puede utilizar un proveedor de reservas externo para entregar el premio, y es posible que se apliquen los términos y condiciones de dicho proveedor externo de reservas. El ganador debe tener un pasaporte con vigencia mínima de 6 meses de validez a partir de la fecha del vuelo de regreso. El Premio está sujeto a los requisitos de ingreso de los EEUU, incluida la visa.El Premio no es transferible ni reembolsable. Tampoco es canjeable por dinero en efectivo. En el improbable caso de que el Premio se encuentre indisponible o sea irrecuperable, el Patrocinador se reserva el derecho de reemplazarlo por un premio alternativo que, a su criterio razonable, considere de valor equivalente.   Todos los impuestos y demás costos que no se especifiquen en este Reglamento Oficial serán de la exclusiva responsabilidad del ganador. El Premio no podrá ser transferido, reemplazado o recuperado con dinero en efectivo, salvo al exclusivo criterio del Patrocinador. El Patrocinador se reserva el derecho de reemplazar el premio por otro de igual o mayor valor si el premio publicitado se encuentra indisponible al momento de otorgamiento del premio. Es posible que el Ganador deba completar un Formulario 1099.

5. CONDICIONES ADICIONALES DE PARTICIPACIÓN: Al participar, los Participantes acuerdan someterse a este Reglamento Oficial, incluidos todos los requisitos de elegibilidad. Al participar, los Participantes acuerdan registrarse como usuarios registrados y recibir correos electrónicos del Patrocinador. El Patrocinador no podrá compartir esta información con terceros, salvo en la medida que sea necesario para la administración del Sorteo. El uso por parte del Patrocinador de la información enviada por los Participantes en relación con este Sorteo se encontrará sujeta a los términos y condiciones establecidos en este Reglamento Oficial y en la Política de Privacidad, la que puede consultarse en https://www.timeout.com/privacy-notice. Se considerarán nulas todas aquellas Participaciones que hayan sido generadas mediante un script, macro, bot u otro medio automático. Todas las Participaciones que estén incompletas, ilegibles, dañadas, contengan un número de teléfono y/o una dirección de correo electrónico erróneos o no se encuentren de conformidad con el Reglamento ni satisfagan sus condiciones podrán ser descalificadas por el Patrocinador. Al aceptar un Premio, el Ganador presta su consentimiento al uso de su nombre, imágenes, semejanzas, foto, voces, envío de participaciones y materiales biográficos para fines publicitarios y promocionales por parte del Patrocinador, o una parte designada por éste, incluidos, entre otros, anuncios en línea, sin que deba mediar notificación o compensación adicional, salvo cuando se encuentre prohibido por la Política de Privacidad del Patrocinador o la ley. Todo el material enviado en relación con el Sorteo no será devuelto. Los Participantes se comprometen a observar los términos de este Reglamento Oficial y las decisiones de los jueces y del Patrocinador, las cuales tendrán carácter definitivo, y acuerdan renunciar al reclamo de existencia de ambigüedad en este Reglamento Oficial. Los Participantes acuerdan que toda controversia se regirá de acuerdo a las leyes del Estado de Nueva York.

6. GARANTÍA: Cada Participante garantiza por el presente que toda la información suministrada es verdadera, exacta y completa. El Patrocinador se reserva del derecho de verificar la elegibilidad de los Participantes. El Patrocinador no acepta responsabilidad por las Participaciones perdidas, dañadas, inválidas o ilegibles.

7. LIMITACIÓN DE RESPONSABILIDAD: POR EL PRESENTE LOS PARTICIPANTES SE COMPROMETEN A EXONERAR Y MANTENER INDEMNE A TIME OUT AMERICA, LLC Y A CADA UNA DE SUS FILIALES, SUBSIDIARIAS, DIVISIONES, AGENCIAS DE PUBLICIDAD Y PROMOCIÓN, SUS EMPLEADOS, FUNCIONARIOS, DIRECTORES, ACCIONISTAS Y AUSPICIADORES, INCLUIDO CHELSEA PEERS (EN SU CONJUNTO, LAS “PARTES EXONERADAS”) RESPECTO DE TODO RECLAMO, ACCIÓN, LESIÓN, PÉRDIDA O DAÑO DE CUALQUIER TIPO, INCLUIDOS, ENTRE OTROS, LESIÓN FÍSICA O MUERTE QUE SE DERIVEN DE SU PARTICIPACIÓN EN ESTE SORTEO, O DE LA ACEPTACIÓN, TENENCIA, USO O MAL USO DE CUALQUIER PREMIO OTORGADO O PARTICIPACIÓN EN CUALQUIER ACTIVIDAD RELACIONADA CON EL PREMIO. ESTA LIMITACIÓN DE RESPONSABILIDAD CONSTITUYE UNA LIMITACIÓN INTEGRAL DE RESPONSABILIDAD APLICABLE A DAÑOS DE TODO TIPO, INCLUIDOS (ENTRE OTROS), DAÑOS COMPENSATORIOS, DIRECTOS, INDIRECTOS O CONSECUENTES; PÉRDIDA DE DATOS O LUCRO CESANTE; PÉRDIDA O DAÑO A LA PROPIEDAD; Y RECLAMOS DE TERCEROS. LOS PARTICIPANTES ACUERDAN QUE EL PATROCINADOR NO HA EFECTUADO, NI ES EN MODO ALGUNO RESPONSABLE POR LAS GARANTÍAS O DECLARACIONES, SEAN LEGALES, EXPLÍCITAS O IMPLÍCITAS (INCLUIDAS, ENTRE OTRAS, LAS GARANTÍAS IMPLÍCITAS DE COMERCIABILIDAD, TÍTULO Y ADECUACIÓN PARA UN FIN ESPECÍFICO), DE HECHO O DE DERECHO, QUE SE RELACIONEN CON EL SORTEO O CON CUALQUIERA DE LOS PREMIOS OTORGADOS EN
   EL PRESENTE. SIN LIMITAR EL CARÁCTER GENERAL DE LO ANTEDICHO, EL PATROCINADOR NO EFECTÚA NINGUNA GARANTÍA EXPLÍCITA NI IMPLÍCITA NI DECLARACIONES RELATIVAS A SU SITIO WEB. ASIMISMO, EL PATROCINADOR NO SERÁ RESPONSABLE POR LAS CONSECUENCIAS DE LAS INTERRUPCIONES O ERRORES RELACIONADOS. Las Partes Exoneradas no serán responsables por desperfectos técnicos, de software o de hardware, fallas telefónicas de ningún tipo, conexiones de red perdidas o indisponibles, incapacidad de acceso a un sitio web o de enviar una Participación o voto, transmisiones informáticas fraudulentas, incompletas, indescifrables o demoradas o transcripción inexacta de información de participación, sean por causa del Patrocinador, de los usuarios o cualquiera de los equipos o programación que se relacionen con este Sorteo o se utilicen en él, o por un error técnico o humano que ocurra en el procesamiento de los envíos que dañe un sistema del usuario o limite la capacidad del participante de participar en el Sorteo. Será nulo todo material o voto que haya sido manipulado o alterado. El Patrocinador se reserva el derecho, a su exclusivo criterio, de cancelar o suspender este Sorteo, en todo o en parte, en cualquier momento sin aviso previo si, a criterio de los jueces, existen pruebas reales o tentativas de manipulación electrónica o no electrónica de una parte del Concurso, o si un virus, error, intervención humana no autorizada u otras causas corrompen o afectan negativamente la administración, seguridad, imparcialidad o integridad, y el correcto desarrollo del Sorteo.  En este caso, el Patrocinador podrá anular todas las participaciones sospechosas y proceder a otorgar los premios entre las participaciones/los votos elegibles que se hayan recibido hasta la fecha de cancelación. PRECAUCIÓN: TODO INTENTO POR PARTE DE UN PARTICIPANTE O DE OTRA PERSONA DE DAÑAR EN FORMA DELIBERADA CUALQUIER SERVICIO EN LÍNEA RELACIONADO CON ESTE SORTEO O DE SOCAVAR LA LEGÍTIMA OPERACIÓN DEL SORTEO PODRÁ CONSTITUIR UNA VIOLACIÓN DE LAS LEYES CIVILES Y PENALES Y, EN CASO DE QUE SE EFECTÚE DICHO INTENTO, EL PATROCINADOR SE RESERVA EL DERECHO DE INICIAR ACCIONES POR DAÑOS Y PERJUICIOS (INCLUIDOS HONORARIOS DE ABOGADOS) CONTRA DICHA PERSONA CON EL MÁXIMO ALCANCE PERMITIDO POR LA LEY, INCLUIDAS ACCIONES PENALES.  La falta de exigencia de este Reglamento Oficial por parte del Patrocinador no constituirá una renuncia a esa disposición o a ninguna otra. El Patrocinador se reserva el derecho de descalificar a aquellos Participantes que violen el reglamento o interfieran con este Sorteo de cualquier forma. En caso de descalificación de un Participante, el Patrocinador se reserva el derecho de cancelar la elegibilidad de dicho Participante para participar en el Sorteo. Todo intento por parte de una persona física de acceder a un sitio web relacionado con este concurso mediante un bot, script u otro ataque de fuerza bruta o cualquier medio no autorizado tendrá como consecuencia la inelegibilidad de la dirección IP en cuestión. Se encuentra prohibido el uso de dispositivos o programas de participación automáticos.

8. CONTROVERSIAS: Salvo cuando se encuentre prohibido, todas las cuestiones relativas a la interpretación, validez y exigibilidad de este Reglamento Oficial, o los derechos y obligaciones del participante y del Patrocinador en relación con el Sorteo, se regirán e interpretarán de conformidad con las leyes del Estado de Nueva York sin dar efecto a ninguna disposición sobre elección o conflicto de leyes (sean del Estado de Nueva York o de cualquier otra jurisdicción) que pudiera dar lugar a la aplicación de las leyes de una jurisdicción distinta a la del Estado de Nueva York.
